That's probably a stop 7b, you probably didnt post all the info, you also left out the message like irql_not_less_or_equal or something u need to post accurate errors.

If this happens after first restart,i would go back to windows me, and uninstall antivirus, cd burning software (like easy cd creator), goback, disk partioning software, and anything mentioned in the upgrade report. You probably need a bios update. What kind of video card are you using? I could also copy the <cdrom>\i386\ folder to c:\i386, restart to sfe mode (press f5), then go to start > run, type c:\i386\winnt32
